Michigan Registered Agent (Resident Agent) Requirements 2026
In Michigan the registered agent goes by an older statutory name: the resident agent. Same role, different label. Every Michigan LLC must continuously maintain both a registered office in the state and a resident agent at that office, under MCL 450.4207 of the Michigan LLC Act. And because Michigan routes business filings through LARA, agent paperwork goes to the Corporations, Securities & Commercial Licensing Bureau, not to a Secretary of State.
Who Can Serve Under MCL 450.4207
The statute permits any of the following to act as your registered agent:
- An individual resident of Michigan whose business office or residence is identical with the registered office
- A domestic corporation, or a foreign corporation authorized to transact business in Michigan, with a business office identical with the registered office
- A domestic LLC, or a foreign LLC authorized to transact business in Michigan, with a business office identical with the registered office
The common thread: the agent's office and the registered office must be one and the same address.
The Registered Office
The registered office is the anchor address in state records. MCL 450.4207 notes it "may, but need not be, the same as its place of business," so a Michigan LLC can keep its shop, warehouse, or home office entirely separate from the address the public sees.
